These Terms of Service ("Terms") govern your use of MunchBoxes, an online ordering platform operated by Vera Group Ltd. ("Vera Group", "we", "us", or "our"). By using a MunchBoxes storefront or placing an order through it, you agree to these Terms. If you do not agree, please do not use the platform.
1. What MunchBoxes is, and what it is not
MunchBoxes is a technology platform that lets independent local businesses ("stores") take orders online through their own storefronts. We are not the seller, merchant, producer, or provider of any item offered on a storefront. The store you order from is the independent seller and the merchant of record for your order. Your purchase is a transaction directly between you and that store. Payment, preparation, pickup, and any delivery are arranged directly with the store. Vera Group does not take title to any item and is not a party to the sale.
2. Placing an order
When you place an order, you are making a request to buy from the store. The store is responsible for accepting, preparing, and providing your order. Product descriptions, prices, availability, photos, allergen information, and nutrition information are provided by the store, and the store is responsible for their accuracy. We do not guarantee that this information is complete or free of errors. If you have allergies or specific dietary needs, confirm details directly with the store before you rely on them.
3. Payment
In the current version of MunchBoxes, you pay the store directly, in person, when you pick up your order. We do not process payments and do not collect your payment card details. If online payment is introduced in the future, it will be handled by the store through its own payment provider, and these Terms will be updated to reflect that.
4. Pickup and fulfillment
You are responsible for picking up your order from the store, or for arranging delivery where a store offers it. The store is responsible for preparing your order and for the quality, safety, and accuracy of the items it provides. Store hours, pickup times, and any delivery arrangements are set by the store.
5. Cancellations, refunds, and problems with an order
Because your purchase is directly with the store, the store handles cancellations, refunds, missing or incorrect items, and any other issues with your order. Please contact the store directly. Vera Group is not responsible for the items or for resolving order disputes, although we may help relay communication where it is reasonable to do so.
6. Acceptable use
You agree to provide accurate information, to use the platform only for lawful purposes, and not to place fraudulent orders, interfere with or disrupt the platform, attempt to gain unauthorized access, or misuse the service in any way.
7. Intellectual property
The MunchBoxes platform, including its software, design, and branding, is owned by Vera Group and its licensors and is protected by law. Store names, logos, menus, and content belong to the respective stores. You may not copy, modify, or distribute any of this without permission from the owner.
8. Disclaimers
The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, regarding the platform and regarding any item, store, or transaction. We do not warrant that the platform will be uninterrupted or free of errors. The quality, safety, and legality of items, and the accuracy of store listings, are the responsibility of the stores.
9. Limitation of liability
To the fullest extent permitted by law, Vera Group and its directors, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of the platform or from any item, store, or transaction. Where liability cannot be excluded, our total liability to you for all claims relating to the platform is limited to the greater of the amount you have paid to Vera Group, if any, or one hundred Canadian dollars (CAD $100). Nothing in these Terms limits any rights you have under applicable law that cannot be limited.
10. Indemnity
You agree to indemnify and hold harmless Vera Group from claims, losses, and expenses arising out of your misuse of the platform or your breach of these Terms.
11. Changes to the platform and to these Terms
We may change, suspend, or discontinue any part of the platform at any time. We may also update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of MunchBoxes after an update means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of the Province of Ontario and the laws of Canada that apply there, without regard to conflict-of-law rules. You agree that the courts located in Ontario will have jurisdiction over any dispute, subject to any rights you have under applicable consumer protection law.
